    Senior Associate

    Key Responsibilities

    • Involvement in all aspects of mergers and acquisitions (“M&A“), joint venture and private equity transactions, such as:
    • Conducting legal due diligence investigations and preparing due diligence reports, in this regard particular emphasis will be placed on your ability to identify legal and commercial risks;
    • Forming new business entities and structuring businesses and their corporate affairs
    • Drafting/negotiating/reviewing of a host of transaction documents (including term sheets, subscription agreements, sale of shares agreements, shareholder agreements, distribution agreements, supply agreements, and sale of business agreements)
    • Managing work streams and various teams on transactions and facilitating the closing and implementation procedures.
    • Advising on various aspects of applicable legislation in an M&A context, including, but not limited to, the Companies Act, 2015.
    • Drafting/negotiating/reviewing constitutional documents, memoranda of incorporation, shareholders agreements, and general company secretarial attendances (for instance, the preparation of notices and minutes of meetings and company board and shareholder resolutions).
    • Drafting/review of an assortment of commercial contracts (for example, nondisclosure agreements, service level agreements, and lease agreements) and providing legal advice thereon.
    • Research and furnishing legal opinions and advice on a wide range of legal issues (firsthand experience with the energy and infrastructure sector is preferable).
    • Knowledge of Tax law and understanding of Competition and Employment law.
    • Delegating to, mentoring, training, and working with junior professionals within and outside of the Corporate & Commercial Department.

    Managing various team members (including senior lawyers within and outside of the Corporate & Commercial Department) in M&A transactions and

    • Assisting with the daytoday practice management, by:
      • Preparing and settling invoices;
      • Engaging with clients regarding invoices.

    Qualifications and Requirements

    • University Law degree.
    • Admission as an Advocate in the High Court of Kenya with a current Practicing Certificate.
    • 6 - 8 years’ experience post admission in a general corporate commercial law firm practice.
    • Excellent interpersonal and writing skills.
    • Ability to administer and execute instructions, from receipt to conclusion, with minimal professional supervision.
    • Strong organizational skills, meticulousness, and high attention to detail.
    • Ability to prioritize and coordinate work to meet deadlines in a highly pressurized environment.
    • Be a team player, who takes his/her clients and work seriously.
    • Be able to engage with often difficult and demanding clients who will interrogate your reasoning and require you to justify your legal arguments and commercial input.
    • Show interest and an appreciation of what is happening around you and have an interest in business, i.e. understand that political and economic events may have an impact on your clients and your practice.
    • Ability to take initiative and assume responsibility for monitoring the expeditious progress of transactions.

    Distributor Sales Manager – Mountain Region

    Key Responsibilities

    • Responsible for meeting the sales targets of the organization through effective planning and budgeting
    • Prepare monthly management reports and Weekly performance reports for the senior management and the board’s decision making.
    • In consultation with the Depot Finance & Administration Manager and Group Finance Manager, prepare distributor annual budget and other short-term budget in the course of the year. 
    • To consistently track company performance against the budget and report any deviation accordingly.
    • Set the targets for the entire sales team and ensure the targets are realistic and achievable.
    • Devises strategies and techniques necessary for achieving the sales targets. 
    • Map potential customers and generate leads for the organization; generating new opportunities for the organization.
    • Responsible for brand promotion in consultation with our main trading partner
    • Client relationship management; responsible for not only selling but also maintaining and improving relationships with the clients
    • Motivating team members; by developing incentive schemes and benefits to encourage them to deliver their level best.
    • Ensure regular Performance management for the sales team.
    • Maintain necessary data and records for future reference 
    • In consultation with the Depot Finance & Administration Manager, Group Finance Manager and East Africa Breweries Limited- Area Business Development Manager organize all Business Review Meetings and all other deport management meetings.
    • Conduct and Chair all weekly sales meetings and participate in other depot meetings.
    • Any other duty as may be assigned from time to time

    Qualification

    • Bachelor of sales & marketing or any other related field.
    • At least 5 years’ experience in sales at management level preferably in an FMCG distributor.
    • Good interpersonal skills.
    • Excellent problem-solving skills.
    • Excellent planner and strategic thinker.
    • Market dynamics analysis.
    • Ability to deliver timely results despite obstacles and limited resources.
    • Self-motivation, a strong work ethic and enthusiasm for change.
    •  
    • Keen interest in satisfying internal and external customers. 
    • Good communication, organizational skills and ability to work under pressure.

    Administrative Assistant

    Responsibilities

    • Carry out general administrative duties and maintaining cloud and manual filing systems.
    • Perform day to day errands, office shopping, handle and report on petty cash;
    • Maintain official vehicle service records, liaise with service providers, vehicle insurance providers and maintain up to date records at all times;
    • Maintain and manage client database with details of deals, contracts, and payments.
    • Assist with the overall maintenance of the company and its offices as well as maintain office equipment and supplies.
    • Attend to visitors and walk-in clients, handle telephone calls
    • Prepare qualitative and quantitative monthly reports detailing all pertinent areas of work and those needing
    • Taking and ensuring messages are escalated to the appropriate staff member on a timely basis.
    • Notify the line manager of any occurring deficiencies, damages or needs for repair.
    • Maintaining high level of professional hygiene at the office at all times.
    • Performing duties in compliance with the operations department policies and procedures.
    • Any other duties that may be assigned from time to time by the line manager

    Qualifications

    • Diploma/Degree in Business Related Course.
    • At least 2 years relevant experience in a similar role.
    • Knowledgeable of Adobe & Photoshop
    • Proficient computer skills, including Microsoft Office Suite (Word, PowerPoint, and Excel). 
    • Strong communication and organizational skills.
    • Ability to work with diverse personalities.
    • Ability to maintain high levels of integrity.
    • Good attitude.
    • Works under less supervision.
