    Lead Investigator

    Purpose of Role

    • The role is responsible for planning, organizing, conducting and managing investigations of cases of alleged sexual assault, sexual harassment, misconduct, mismanagement, embezzlement, misappropriation and waste of resources, fraud, theft, corruption, and any other violations of the Company’s Code of Business Principles and its Policies. 
    • The Investigator must demonstrate knowledge and understating of various investigative tools to be employed in investigations and evidence gathering.
    • S(he) must demonstrate the ability to analyze data to determine facts, determine findings and formulate recommended corrective measures and related disciplinary actions and have the capability of presenting the investigation report before disciplinary committees. 
    • S(he) must demonstrate ability to present evidence in a logical, systematic and compelling format to enhance chances of conviction on a “balance of probability “evidential standard of.

    Accountabilities 

    PREVENTION

    • Education and Awareness:
      • Support the Business Integrity Officer in education of employees / functional groups where required
      • Support the Business Integrity Officer in employee awareness and on-boarding
    • Maintains an understanding of applicable local compliance laws / regulations and best practices
    • Identification of Control Gaps through the investigation process and conducting of deep dives in conjunction with stakeholders and presenting the same to the Business Integrity Committee for adoption

    DETECTION

    • Identifying risks based on case trends and flagging the same to the Business Integrity Officer for mitigation. 

    RESPONSE

     Investigations (breaches):

    • Ensure all cases assigned to him/her are investigated and concluded in conformity with defined global standards
    • Identify and escalate control and process failures to the Business Integrity Officer for escalation or action.
    • Ensure proper investigation and documentation of cases of SGBV and other gender based/ human rights violations and abuses in the business.
    • Conduct and/or assist in conducting interviews and evidence gathering activities, ensuring that necessary measures of protection and confidentiality for witnesses and victims of women’s human rights violations are implemented throughout and that the gender-specific impact of violations is assessed

    Culpability and corrective actions

    • Ensure that investigation reports point out culpability, negligent, malicious, collusive of employees and third party breach of code of Business principles
    • Ensure that investigation reports point out operational, security and financial control gaps and provide closure or recommendations
    • Ensure that all corrective actions have reasonable timelines

    Disciplinary Action

    • Support Human Resource and Business Integrity functions in the internal disciplinary processes including drafting of charges in relation to the breaches under the Code of Business Principles and its Polices and presentation of the investigation report to disciplinary hearing committees.

    Criminal Prosecution

    • Support the arrests, statement recording and compilation of criminal file at investigation agencies 
    • Liaise with different law enforcement agencies to ensure that any code breach cases that amount to criminal offenses are prosecuted by the police.
    • Collaborate and drive escalation of any delays in prosecution of sensitive high impact cases to leadership as well as Senior Police authorities

    Court Attendance as Company Witness

    • Attend court and give evidence as the Company’s witness in employment cases filed against the company in relation to disciplinary action arising out of Code Related Cases.
    • Support police in bonding and coordinate support of witnesses to company cases 

    Qualifications & Experience Required 

    • Bachelor's degree in Criminal Justice, Criminology, Law or related field.
    • Minimum 5 years of relevant experience in investigation. A recognized counter-fraud or investigation qualification (e.g., law enforcement, CFE, Bar Admission) will be an added advantage. 
    • Three years Relevant Experience in conducting sexual assault/ harassment, fraud, corruption, safeguarding and other types of investigations in challenging environments/ remote locations. 
    • The ability to influence key stakeholders and to be an agent for change are essential in this role as is the ability to manage potentially sensitive and complex investigations.
    • Proven ability to conduct complex human rights investigations, including expertise in monitoring and documenting SGBV and understanding of gender-specific protection concerns.
    • Expertise in human rights and gender dimension of human rights
    • Good analytical capacity.
    • Solid knowledge in witness and victim protection and data protection.
    • Demonstrated people management skills.
    • Ability to speak and write in a clear manner including ability to draft a variety of reports.
    • Excellent writing and communication skills

    Legal Officer

    Purpose of Role 

    • To support the General Counsel – East Africa Plantations to provide legal services to the company; business partner management; handle legal related queries on communications, industrial relations, tax, finance and operating subsidiaries and provide support on company secretarial duties. 

    Accountabilities

    Legal

    • Identify legal risks and helps the business navigate them, providing legally compliant creative solutions which deliver competitive advantage to the business objectives taking into account compliance, reputation, cost, risk and other consequences. 
    • Advise various functions: General Management, Operations, HR, Finance, Supply Chain, Engineering and R&D on statutory obligations under the relevant legal Acts, associated legislation and regulations relating to matters such as governance frameworks.
    • Develop and maintain relationships with relevant external contacts (e.g. external lawyers, registrars, regulators, external bodies etc);
    • Review legal contracts and other legal documents when required.
    • Manage records of contracts, land documents, litigation files & other legal documents deposited with Legal department for safekeeping.
    • Litigation support - representation of the Company at court sessions and follow up of external advocates to deliver value for legal fees paid.
    • Facilitate appropriate legal documentation and witnesses for the litigation process and, responsible for litigation update reports.
    • Facilitate the availability of laws and regulations relevant to company operations, research and review laws and regulations regulating the company, advise on all changes to laws and regulations.
    • Manage the company’s lease portfolio, alert the relevant functions on expiry of leases, facilitate renewal and termination of leases, and facilitate payment of rent and rates.

    Company Secretary

    • Provide company secretarial services to the business and ensure proper governance of all entities.
    • Ensuring compliance with statutory obligations, reporting requirements and disclosures for listed companies.
    • Preparing Board resolutions and minutes of Board meetings and Annual General Meetings.  
    • Advising the finance team on the reporting requirements and disclosures required under the Companies Act and other relevant laws.
    • Organizing the company and subsidiary’s Board meetings as well as Board Committee Meetings. 
    • Ensure filing of Annual Returns, and resolutions relating to appointment and resignation of Directors and Secretaries. 
    • Update Company Registers and manage the use of the Company Seal.

    Qualifications and Experience Required 

    • A graduate of Law (LLB) 
    • Call to Bar (Member of Law Society of Kenya with current practicing certificate)
    • Relevant years post- call experience in Corporate/Commercial Law practice or related job experience
    • Good communication skills (oral & written)
    • Good analytical skills
    • Good interpersonal skills
    • Attention to details
    • Above average team skills
    • Appetite for learning
    • Good working knowledge of the Microsoft Office suite
    • Certified Company Secretary is an added advantage
